📋 Key Responsibilities:
• Advise on formation and structuring of open- and closed-end private investment funds
• Guide clients through investment adviser regulatory compliance
• Draft and negotiate documentation for joint ventures, M&A transactions, and general corporate deals
• Represent institutional investors in private equity and venture capital matters
• Prepare and review fund documentation including PPMs, LLC/LP agreements, side letters, and advisory contracts
• Support client development of compliant marketing and offering materials
• Collaborate with attorneys across departments to deliver comprehensive legal solutions

✅ Qualifications:
• 3–5 years of experience in investment management and private fund formation
• Strong foundation in corporate transactional work and fund documentation
• JD from an accredited law school
• Admission to the New York Bar or eligibility
• Exceptional drafting, problem-solving, and communication skills
• Proven ability to manage clients and deadlines in a fast-paced environment
• Experience advising family offices and institutional investors preferred
